1. Acceptance Of Terms

The services that NEO International Inc. provides to User are subject to these Terms of Use for Membership to our Web Site Services. The company reserves the right to update the Terms at any time without notice.

A. This Agreement incorporates provisions applicable to use of Neo-Project.app. By using the service, User agrees to comply with all terms and conditions. Use is personal to User and not transferable. User is responsible for all use of User’s account and for protecting User’s password.
B. NEO International Inc. may change or discontinue any aspect or feature of the site, including content, hours of availability, and equipment needed for access or use.

2. Changed Terms

NEO International Inc. may change or modify the terms and conditions applicable to User’s use of NEO-Project.App, including fees and charges. Such changes become effective immediately upon notice by posting, email, conventional mail or any other means by which User obtains notice. Continued use after notice constitutes acceptance.

3. Description of Services

NEO International Inc. provides User with access to resources including download areas, communication forums and product information. Updates, enhancements, new features and new web properties are subject to these Terms.

4. Equipment

User is responsible for obtaining and maintaining all equipment needed for access to and use of NEO-Project.App and for all related charges.

5. User Conduct

User shall use the site for lawful purposes only. Unlawful, abusive, defamatory, obscene, infringing or otherwise objectionable material is prohibited, as is unapproved commercial solicitation. Site content contains copyrighted and proprietary material that may only be downloaded for personal use unless otherwise permitted by law. By submitting material to public areas of the site, User grants NEO International Inc. a broad non-exclusive license to use, reproduce, publish, translate and distribute that material.

6. Use of Services

Communication Services such as email, forums and chat areas may only be used for proper and related purposes. Prohibited uses include spam, harassment, unlawful content, infringement, viruses, false identity, data harvesting, and restricting other users. NEO International Inc. may review, edit, remove content and terminate access at any time. Users should use caution with personally identifiable information.

7. Member Account, Password, and Security

If a Service requires an account, User must provide current, complete and accurate information and choose a password and username. User is fully responsible for maintaining confidentiality and for all activities under the account, and must notify the company of unauthorized use or any security breach.

8. Notice Specific to Software Available on NEO-Project.App

Software available through the Services is copyrighted and governed by any applicable license agreement. Reproduction or redistribution contrary to the license agreement is prohibited. Except as warranted in the license agreement, software is provided without warranties, and the company makes no assurances about the results of tools or utilities available through the Services.

9. Notice Specific to Documents Available on NEO-Project.App

Use of documents such as white papers, press releases, datasheets and FAQs is permitted only if copyright notices are preserved, the use is informational and non-commercial or personal, and the documents are not modified. Educational institutions may use such documents in the classroom. Documents and related graphics are provided “as is” without warranty.

10. Notices Regarding Software, Documents & Services Available on NEO-Project.App

NEO International Inc. and its suppliers are not liable for special, indirect, consequential or similar damages arising out of the use or performance of software, documents, services, or information available through the Services.

11. Materials Provided to NEO International Inc. or Posted at Any of NEO-Project.App’s Website Address

The company does not claim ownership of materials submitted by User. However, by posting or submitting them, User grants NEO International Inc. and its sublicensees permission to use, reproduce, distribute, publicly display, publicly perform, edit, translate and reformat the submission in connection with operation of the Services. User warrants having all rights necessary for any submission, including images.

12. Disclaimer of Warranty; Limitation of Liability

Use of NEO-Project.App is at User’s sole risk. The site is provided on an “as is” basis without warranties of any kind except where exclusion is not permitted by law. The company and related parties are not liable for interruptions, viruses, errors, inaccuracies, delays, transmission failures, or direct, indirect, incidental, consequential or punitive damages arising from use of the site or the information provided through it.

13. Links To Third Party Sites

Linked third-party sites are not under the control of NEO International Inc. Links are provided only as a convenience and do not imply endorsement. The company is not responsible for the content, updates, transmissions, or reliability of third-party content, opinions, advice or statements.

14. Unsolicited Idea Submission Policy

NEO International Inc. does not accept or consider unsolicited ideas for advertising campaigns, promotions, products, technologies, materials, marketing plans or product names. If User still sends such ideas or materials, the company makes no assurances that they will be treated as confidential or proprietary.

15. Monitoring

NEO International Inc. has the right, but not the obligation, to monitor content on NEO-Project.App, including chat rooms and forums, to determine compliance with this Agreement and applicable rules, laws or requests. The company may edit, refuse to post, or remove any objectionable or non-compliant material.

16. Indemnification

User agrees to defend, indemnify and hold harmless NEO International Inc., its affiliates and their respective directors, officers, employees and agents from and against all claims and expenses, including attorneys’ fees, arising out of User’s use of the Services or User’s account.

17. Termination

Either NEO International Inc. or User may terminate this Agreement at any time. The company may immediately terminate User’s account in the event of conduct it considers unacceptable or in the event of any breach of this Agreement.

18. Miscellaneous

This Agreement and any operating rules established by NEO International Inc. constitute the entire agreement with respect to the subject matter and supersede prior written or oral agreements. This Agreement is governed by the laws of Ontario, Canada, without regard to conflict of law rules. Section headings are for convenience only.

The names of actual companies and products mentioned may be trademarks of their respective owners. Example companies, organizations, products, domain names, email addresses, logos, people and events depicted may be fictitious. Any rights not expressly granted herein are reserved.
